Codriversclub operates an online directory that connects motorsports vehicle owners (“Hosts”) and enthusiasts looking to rent them (“Renters”), and that advertises the services of independent coaches. Codriversclub is a listing platform only. We do not own, operate, inspect, insure, or manage any vehicle or service listed here, and we are never a party to any rental, coaching, payment, or other arrangement. All such arrangements are made and completed directly between the parties, off-platform.

Host Agreement — Terms Between Host and Codriversclub

This Host Agreement (“Agreement”) is entered into as of the date of electronic acceptance (“Effective Date”) by and between:

Section 1: Relationship Between Host and Codriversclub

1.1 Purpose of the Agreement

This Agreement governs the relationship between the Host and Codriversclub. By listing a vehicle on the Codriversclub platform, the Host agrees to abide by the responsibilities, standards, and terms set forth herein. This Agreement is a binding legal contract and shall apply to all vehicle listings by the Host, whether past, current, or future.

1.2 Platform Role

Codriversclub provides an online directory that connects Hosts and Renters who are interested in arranging the rental of vehicles for use in controlled motorsports environments, including track days. Codriversclub does not own, operate, manage, control, inspect, or insure any vehicles listed on its platform, and does not employ, supervise, or train any Hosts or Renters.

Codriversclub is not a party to any rental agreement, vehicle use arrangement, payment, or transaction between a Host and Renter. Any such rental is negotiated, agreed, and completed directly between the Host and the Renter, off-platform. The Host expressly acknowledges and agrees that Codriversclub shall have no responsibility or liability for any actions, omissions, damages, losses, injuries, or disputes arising out of or related to the use of any vehicle listed by the Host.

1.3 Independent Parties

The Host and Codriversclub are independent parties. Nothing in this Agreement shall be interpreted to create a partnership, joint venture, principal-agent, franchise, or employer-employee relationship between the Host and Codriversclub. The Host is solely responsible for compliance with applicable laws and regulations, including those governing vehicle safety, insurance, taxes, and business operations. The Host shall not represent themselves as an agent or representative of Codriversclub.

1.4 Agreement Scope

This Agreement applies to all vehicles the Host lists on the Codriversclub platform and governs all interactions between the Host and Codriversclub unless expressly superseded by a written agreement executed by both parties. Codriversclub reserves the right to modify the terms of this Agreement at any time, with notice provided to the Host via electronic means or through the platform.

Section 2: Host Responsibilities and Vehicle Standards

2.1 Vehicle Safety and Track-Readiness Requirements

To promote a safe and consistent experience for Renters, Codriversclub expects that each vehicle listed on the platform is maintained in track-ready condition and has undergone a recent, track-specific safety inspection. The Host is solely responsible for meeting the following standards.

2.1.1 Recommended Track Safety Inspection

Before listing a vehicle on the Codriversclub platform, the Host should ensure the vehicle passes a track-day safety inspection that assesses and confirms, at a minimum:

  • Braking system integrity (pads, fluid, lines)
  • Tire condition (tread depth, wear, or cycle count for slicks)
  • Suspension and steering components (no excessive play or damage)
  • No active leaks of oil, coolant, or fuel
  • Fluid levels appropriate for track use
  • Secure battery mounting and wiring
  • Properly functioning seat belts, harnesses, and seat mounting points

Codriversclub does not perform, supervise, collect, review, or certify any mechanical inspection. Responsibility for the inspection and for the vehicle’s condition rests entirely with the Host.

2.1.2 Host Acknowledgment of Responsibility

The Host remains solely responsible for:

  • Ensuring their vehicle remains in safe and track-ready condition throughout its time on the platform
  • Performing routine maintenance and pre-rental checks, including fluid levels, torque checks, and brake inspections
  • Disclosing any known issues or limitations that could affect the safe operation of the vehicle

The Host represents and warrants that the vehicle is, to the best of their knowledge, free from safety defects and in suitable condition for track use at the time of each rental arranged directly with a Renter.

2.1.3 No Safety Certification by Codriversclub

Codriversclub does not verify, approve, or certify the mechanical fitness or safety of any vehicle. The Host agrees that Codriversclub bears no responsibility for any mechanical failure, maintenance oversight, or unsafe condition of the vehicle.

2.2 Listing Accuracy of Safety Information

Any inspection status, safety representation, or supporting photos that the Host chooses to include in a listing must be accurate and current. Where an inspection is completed by a professional race shop or qualified technician, that party assumes responsibility for the accuracy of its work and must not rely solely on the Host’s representations of vehicle condition.

Codriversclub does not perform, supervise, validate, or certify any inspection, and does not assume liability for any inspection’s accuracy or thoroughness. Codriversclub reserves the right to request additional information, or to suspend or remove a listing that does not meet its safety or quality standards, at any time.

2.3 Risk Acknowledgment and Liability

2.3.1 Acknowledgment of Risk and Assignment of Responsibility

The Host acknowledges that participation in track-day and high-performance driving events involves inherent risks, including but not limited to: collisions, mechanical failure, off-track excursions, and bodily injury. The Host is responsible for ensuring that their vehicle is in a safe, track-ready condition prior to each rental, as described in Sections 2.1 and 2.2.

The Renter is solely responsible for any damage, mechanical stress, contamination, or loss resulting from their use of the vehicle during the rental period, including but not limited to: negligent driving, over-revving, off-track excursions, or failure to follow track rules. These matters are governed by whatever rental terms the Host and Renter agree to directly.

Codriversclub assumes no responsibility for the actions of Renters or Hosts, or for any incident occurring during the use of a vehicle. Nothing in this Agreement shall be construed to impose any duty of care or liability upon Codriversclub for vehicle use or safety.

2.3.2 Host Liability for Vehicle Condition

The Host remains solely responsible for the ongoing maintenance and condition of the vehicle. The Host certifies that, to the best of their knowledge, the vehicle is safe and suitable for track use at the time of listing and prior to each rental. Any failure arising from known but undisclosed mechanical issues or safety defects may subject the Host to removal from the platform.

2.3.3 Insurance Responsibility

Codriversclub does not provide or verify insurance coverage for any vehicles listed on the platform. The Host is responsible for determining whether their insurance policy provides coverage for track-day use and is encouraged to disclose any applicable limitations to Renters. The absence of insurance does not limit the Host’s responsibility for maintaining a safe vehicle or the Renter’s responsibility for damage incurred during the rental.

2.3.4 No Codriversclub Liability or Certification

Codriversclub acts solely as a neutral listing directory and does not inspect, control, or certify the safety or mechanical condition of any vehicle listed on the platform. Codriversclub is not a party to any rental arrangement between Hosts and Renters and disclaims all liability arising from the use of any vehicle. Use of the Codriversclub platform is entirely at the risk of both Host and Renter.

2.4 Listing Accuracy and Vehicle Updates

2.4.1 Accuracy of Listings

The Host agrees to provide accurate, complete, and up-to-date information in all vehicle listings. This includes (but is not limited to):

  • Make, model, year, trim, and drivetrain specifications
  • Modifications or upgrades that affect performance, safety, or usability
  • Known quirks or limitations (e.g., “no ABS,” “manual cold-start procedure”)
  • Track-specific setup information, if applicable

Photos must accurately reflect the current condition of the vehicle, and listings must not contain misleading or deceptive information.

Modified Vehicles

If the vehicle has been modified in any way that affects performance, handling, safety systems, drivability, or mechanical reliability, the Host must clearly describe those modifications in the listing. This includes, but is not limited to:

  • Engine tuning, ECU reflashes, or forced induction
  • Aftermarket suspension, brakes, tires, or wheels
  • Roll cages, harnesses, or seat replacements
  • Removal or deactivation of safety systems (e.g., ABS, traction control, airbags)
  • Fuel system changes (e.g., E85, race fuel only, etc.)

The Host must also disclose any relevant operational instructions or limitations for Renters (e.g., “Do not use launch control,” “Requires race fuel only,” “No cold starts above 3k RPM”).

2.4.2 Required Updates

The Host agrees to promptly update their listing if:

  • The vehicle becomes temporarily or permanently unavailable
  • The vehicle sustains any damage that could impact safety, performance, or renter experience
  • Any major mechanical system is repaired, replaced, or modified
  • Any prior safety inspection is invalidated (e.g., following a collision)

Failure to keep vehicle information accurate and current may result in listing suspension or removal from the platform.

2.4.3 Platform Oversight and Discretion

Codriversclub reserves the right to review, modify, or remove vehicle listings that are inaccurate, incomplete, outdated, or otherwise inconsistent with the platform’s safety or quality standards. Codriversclub may request updated photos, inspection documentation, or additional information at any time as a condition of continued listing.

2.5 Renter-Caused Damage and Off-Track Incidents

2.5.1 Renter Liability for Damage and Contamination

As between the Host and the Renter, the Renter is financially responsible for any damage, degradation, or excessive wear caused to the vehicle during the rental period, regardless of whether the damage was intentional, negligent, or accidental. This includes, but is not limited to:

  • Bodywork, suspension, wheel, or underbody damage
  • Excessive tire wear, overheating, or de-beading
  • Contamination from off-track excursions (e.g., gravel, mud, dust)
  • Cooling system blockages or radiator damage
  • Over-revving, mechanical abuse, or misuse of features (e.g., launch control)

The Host shall not be held responsible for any damage caused by the Renter. Because Codriversclub is a directory only, any such responsibility, payment, deposit, or reimbursement is a matter to be arranged and resolved directly between the Host and the Renter under the terms they agree to off-platform.

2.5.2 Off-Track Excursions

If the vehicle leaves the designated paved surface of the track (an “off-track excursion”) and such event results in damage, contamination, or disruption, the Renter shall be responsible, as agreed directly with the Host, for matters such as:

  • Professional cleaning and detailing
  • Mechanical inspection or repairs
  • Track-imposed penalties or towing charges
  • Partial or full loss of use for the remainder of the session

The Host is encouraged to document any incident with photos, dashcam footage, and a brief incident summary to support any claim they may pursue directly against the Renter.

2.5.3 Codriversclub Is Not Involved in Claims

Codriversclub does not hold security deposits, process payments, escrow funds, mediate claims, or reimburse any party. Codriversclub is not a party to and takes no role in any damage claim, dispute, or reimbursement between a Host and a Renter. All such matters are resolved directly between the Host and the Renter, and nothing in this Agreement prevents either party from pursuing legal remedies against the other.

2.6 Listing Availability and Host Conduct

2.6.1 Availability Accuracy

By listing a vehicle on the Codriversclub platform, the Host agrees to keep the listing’s availability and details accurate so that Renters who contact the Host have reliable information. The Host is responsible for ensuring the vehicle is in the condition represented at the time of any rental the Host arranges directly with a Renter.

2.6.2 Honoring Commitments to Renters

The Host should honor commitments made directly to Renters and communicate promptly if a vehicle becomes unavailable, for legitimate reasons such as mechanical failure, safety concerns, or personal emergencies. Repeated failure to honor commitments, misrepresentation of availability, or conduct that harms the Renter experience may result in account review, listing suspension, or reduced future visibility. Codriversclub charges no booking fees and adjusts no payouts, as it is not a party to any rental transaction.

2.7 Communication and Responsiveness

The Host agrees to respond promptly and professionally to inquiries forwarded through the platform and to communications from Renters. This includes:

  • Answering pre-rental questions
  • Coordinating logistics for vehicle pickup and drop-off directly with the Renter
  • Providing necessary instructions or documentation
  • Engaging in good faith to resolve any dispute involving a rental

Failure to remain reasonably responsive may result in listing suspension or account deactivation.

2.8 Prohibited Conduct and Platform Violations

The Host shall not engage in any of the following conduct, each of which constitutes a material breach of this Agreement:

  • Listing a vehicle they do not own or lack the legal authority to offer for rent
  • Providing false or misleading information in the vehicle listing, inspection representations, or safety documentation
  • Permitting any unapproved driver to operate the vehicle during a rental
  • Failing to disclose known defects, prior damage, or material mechanical limitations
  • Attempting to influence, penalize, or retaliate against a Renter for leaving a review or raising a concern
  • Repeatedly misrepresenting availability or failing to honor commitments made to Renters
  • Violating local laws, track regulations, or insurance restrictions while participating on the platform

2.9 Suspension and Termination

Codriversclub may, in its sole discretion, suspend or terminate the Host’s account or any individual vehicle listing for any of the following reasons:

  • Breach of any term of this Agreement
  • Repeated Renter complaints or low ratings
  • Unsafe vehicle conditions or falsified documentation
  • Suspected fraud or abusive conduct
  • Violation of local, state, or federal laws

Codriversclub may remove listings or take other remedial action while investigating potential violations. Termination of the Host’s account does not relieve the Host of any obligations owed directly to a Renter, including unresolved damage claims or pending disputes, which remain solely between the Host and the Renter.

Section 3: General Terms

3.1 Entire Agreement

This Agreement constitutes the entire understanding between the Host and Codriversclub regarding the subject matter herein and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written. No verbal statements or non-written agreements shall be binding.

3.2 Modification of Terms

Codriversclub reserves the right to modify or update the terms of this Agreement at any time, with notice provided to the Host via email or through the platform. Continued use of the Codriversclub platform after any such modification constitutes acceptance of the updated Agreement. If the Host does not agree to the modified terms, their sole remedy is to discontinue use of the platform and remove their listings.

3.3 Governing Law and Venue

This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. Any disputes arising out of or related to this Agreement shall be resolved in the state or federal courts located in California, unless otherwise required by applicable arbitration provisions.

3.4 Dispute Resolution and Arbitration

To the extent permitted by law, any disputes or claims arising out of or relating to this Agreement or the use of the Codriversclub platform shall be resolved through binding arbitration administered by a mutually agreed-upon arbitration service, in accordance with its commercial arbitration rules. Judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.

The parties waive their right to a jury trial or to participate in a class action related to this Agreement. Either party may seek injunctive or equitable relief in a court of law for issues related to intellectual property or unauthorized access to the platform. This clause governs disputes between the Host and Codriversclub only; disputes between a Host and a Renter are governed by whatever terms those parties agree to directly.

3.5 Assignment

The Host may not assign or transfer this Agreement or any of its rights or obligations without the prior written consent of Codriversclub. Codriversclub may assign this Agreement freely as part of a corporate restructuring, sale, or transfer of assets.

3.6 Severability

If any provision of this Agreement is found to be invalid, illegal, or unenforceable under applicable law, the remaining provisions shall remain in full force and effect.

3.7 No Waiver

Codriversclub’s failure to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision unless acknowledged in writing.

3.8 Electronic Signature and Acceptance

By electronically accepting this Agreement or by listing a vehicle on the platform, the Host acknowledges that they have read, understood, and agreed to be bound by its terms. This Agreement may be executed electronically and delivered via digital means, and such execution shall have the same force and effect as a manual signature.
